Book on corporate law is launched in Sao Paulo

Mariana Pargendler, a professor of Corporate Law from FGV’s Sao Paulo Law School (Direito SP), is coauthor of the book “Anatomia do Direito Societário” [Anatomy of Corporate Law], which will be launched next Thursday, December 13, at 7 p.m., at the Main Office of the São Paulo Stock Exchange (Rua Quinze de Novembro, 275 – Abelardo Auditorium, 1st floor. Downtown, Sao Paulo/SP). The event will also be attended by another co-author, Luca Enriques, a professor from the University of Oxford.

The third edition of the book, one of the leading works in corporate law from a comparative perspective, was revised and updated to reflect the profound changes in corporate law and governance practices that have occurred in recent years. Among other topics, the new edition focused on the numerous regulatory changes that followed the 2007-2009 financial crisis, which were mainly seen in the U.S., and the increasingly critical role of institutional investors as active company shareholders.

The geographic scope of coverage was also expanded to a fairly in-depth analysis of Brazil, and the new edition also incorporates the increasing use of corporate law to protect the interests of foreign groups without any contractual relationship with a company.
